Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Apruv Inc.’s (“Apruv,” “we,” “our,” or “us”) software, website, mobile applications, APIs, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

If Apruv has executed a separate Master Service Agreement (“MSA”) or Order Form with you, that agreement controls where conflicts exist.

1. Overview of the Apruv Platform

Apruv provides AI-powered software solutions that help field-service organizations improve customer onboarding, technician performance, and post-service transparency. The platform is organized into three product categories:

1.1 Apruv Verify (Field Sales Verification Suite)

A guided workflow for customer agreement validation, compliance scripts, disclosures, call-based confirmations, and audit documentation. Verify does not involve tipping, payouts, bonuses, or financial transactions.

1.2 Apruv Align (Technician Performance Intelligence)

Technician performance insights, KPIs, routing efficiency, compliance indicators, service quality metrics, and operational dashboards.

1.3 Apruv Rate (Technician Ratings, Proof-of-Service, Reviews & Tips)

Tools for post-service reviews, proof-of-service video capture, customer satisfaction flows, and optional technician tipping and bonus payouts.

1.4 Apruv Is Not a Financial Institution

Apruv:

• is not a bank, money transmitter, or payment processor;
• does not store or handle payment card or bank credentials;
• does not hold, escrow, or control funds;
• relies exclusively on regulated third-party payment processors.

2. Account Registration and Access

To use the Services, you must maintain an account with accurate information. You are responsible for:

• safeguarding account credentials,
• ensuring only authorized personnel use the Services,
• notifying Apruv of unauthorized access.

Access to production systems is protected through RBAC, MFA, and monthly/quarterly reviews in accordance with Apruv’s Access Control Process.

3. Acceptable Use

You agree not to:

• violate laws or regulations;
• upload harmful or malicious content;
• attempt to disrupt or impair system functionality;
• misuse customer or technician data;
• circumvent security controls;
• engage in fraudulent or deceptive activities.

Customers must ensure their own compliance with recording laws and the lawful use of any disclosures, scripts, or agreements uploaded into Apruv Verify.

4. Fees and Payment Terms

Fees for Apruv Services are defined in your Order Form or contract agreement. All fees are non-refundable unless required by law.

4.1 Apruv Rate (Field Technician Solution) — Transaction-Specific Fees

The following fees apply only to optional tipping and bonus payout features within Apruv Rate, the Field Technician solution:

• Tip Card Payments: 2.9% + $0.30 per transaction
• Bonus Payouts (ACH Deposit Fee): $0.25 per deposit
• Tip Chargebacks: rebilled at cost and deducted from the company’s Apruv wallet balance

These fees do not apply to Apruv Verify or Apruv Align.

Apruv may suspend access for nonpayment after providing reasonable notice.

5. Data We Access, Store, and Process (Data Minimization)

Apruv collects only the minimum data necessary to deliver the specific features you use. This commonly includes:

• Customer name
• Service address
• Phone number and/or email address
• Service and contract metadata, such as:
• service type/plan
• technician assigned
• scheduled service date/time
• CRM job identifiers
• relevant service notes

5.1 Data Apruv Does Not Collect

Apruv does not access or store:

• payment card data
• banking or routing numbers
• internal billing records
• social security numbers
• data unrelated to service delivery

5.2 Purpose of Processing

Collected data is used strictly for:

• delivering Apruv Verify (verification flows)
• delivering Apruv Rate (videos, reviews, tip requests)
• providing technician performance analytics in Apruv Align
• enabling platform audit logs, fraud detection, and security
• customer-requested operational reporting

Data is never sold, never shared for marketing, and never used to train AI models in identifiable form.

5.3 Data Security

Apruv uses encryption in transit and at rest, secure key storage, continuous monitoring, and hardened infrastructure as described in the Information Security Policy.

6. Security & Compliance Practices

Apruv maintains a comprehensive program aligned with modern security expectations:

6.1 Access Control

• MFA required for sensitive systems
• RBAC based on least privilege
• Monthly and quarterly access reviews

6.2 Secure Development & Deployment

Code updates follow the Code Build & Release Process including:

• PR review
• CTO approval
• CI/CD scanning

6.3 Vendor Security

All third-party vendors undergo due diligence and periodic reassessment under Apruv’s Vendor Management Process.

6.4 Monitoring & Incident Response

Apruv maintains continuous monitoring, alerting, on-call response, structured incident triage, and post-incident review procedures.

7. Data Retention & Deletion

Apruv retains customer data for two years, unless:

• longer retention is required by law or contract;
• a deletion request is submitted;
• privacy laws (CCPA/GDPR) require earlier deletion.

Deletion and retention follow Apruv’s Data Deletion & Retention Policy.

8. Third-Party Services

The Services may integrate with third-party CRMs, routing systems, phone systems, and payment processors. Their use is governed by their own terms and policies. Apruv is not responsible for outages or issues caused by these third parties.

9. Intellectual Property

Apruv owns all intellectual property related to:

• the platform and software,
• algorithms, analytics, and workflows,
• documentation and user interface designs.

Customers retain ownership of all Customer Data.

10. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Apruv does not guarantee:

• uninterrupted service,
• error-free operation,
• compatibility with third-party systems,
• outcomes based on technician or customer behavior.

11. Limitation of Liability

To the fullest extent permitted by law:

• Apruv is not liable for indirect, incidental, consequential, punitive, or special damages.
• Apruv’s cumulative liability for any claim in a 12-month period is limited to the total fees paid by you during that period.

12. Indemnification

You agree to indemnify and hold Apruv harmless from claims related to:

• misuse of the Services;
• content uploaded by your users;
• violation of laws, including recording and privacy laws;
• unauthorized access arising from your systems.

Apruv indemnifies you only for claims arising from Apruv’s gross negligence or willful misconduct.

13. Termination

Either party may terminate the Services subject to the applicable Order Form or MSA.

Apruv may suspend or terminate access for:

• nonpayment,
• violations of these Terms,
• security threats,
• unlawful or improper use.

Data will be retained or deleted as required by Section 7.

14. Modifications

Apruv may modify these Terms with 30 days’ notice. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
